Zero Net Energy Solutions, LLC — Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zero Net Energy Solutions, LLC ("ZNES," "we," "our," or "us") governing your access to and use of our website located at znes.us (the "Site") and any related forms, portals, or services we provide (collectively, the "Services").BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT USE THE SERVICES.

1. Services Overview

ZNES acts as an enrollment and marketing facilitator for licensed contractor partners participating in utility‑funded energy‑efficiency programs (the "Programs"). We:

-Provide information about no‑cost energy‑efficiency opportunities;

-Collect eligibility data and submit it to Program administrators;

-Connect qualified households with licensed contractor partners for in‑home assessments and installations.

ZNES does not make final eligibility determinations, approve specific measures, or perform installation work. Those decisions and activities are carried out by the relevant utility or Program administrators and the contractor partner assigned to your project.

2. Eligibility & User Representations

By using the Services, you represent and warrant that:

1. You are at least 18 years old and legally capable of entering into a binding agreement;

2. All information you provide to ZNES is true, accurate, current, and complete;

3. You will maintain and promptly update your information to keep it accurate and complete;

4. You have the authority to share household and property information, and—if you are a renter—to obtain owner authorization for Program participation.

3. User Obligations

You agree to:

-Use the Services solely for lawful purposes and in accordance with these Terms;

-Cooperate with ZNES and contractor partners to schedule assessments and installations;

-Provide any documentation requested by Program administrators in a timely manner;

-Refrain from submitting false claims or misrepresenting eligibility.

4. Modifications to the Services

We may modify, suspend, or discontinue any part of the Services at any time without liability. We will endeavor to provide advance notice of material changes when practical.

5. Program Disclaimers

No Guarantee of Approval:

-Completing an eligibility form does not guarantee that you or your property will be approved for any Program benefits.

-Third‑Party Decisions: Final eligibility determinations, scope of work, and funding decisions are made by the Program administrators, not by ZNES.

-Contractor Performance: Installation services are performed by independent, state‑licensed contractors. ZNES is not responsible for contractor workmanship, scheduling, or warranty obligations.

6. Intellectual Property

All content on the Site—including text, graphics, logos, and software—is owned by or licensed to ZNES and is protected by U.S. and international intellectual‑property laws. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ZNES DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT WILL ZNES, ITS OWNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ZNES'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU HAVE PAID TO ZNES FOR THE SERVICES, WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless ZNES and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any rights of a third party.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict‑of‑laws principles. Any dispute arising from these Terms or the Services will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the jurisdiction of such courts. If a dispute arises, you agree first to contact ZNES at [email protected] to attempt an informal resolution. If we cannot resolve the dispute within 30 days, either party may pursue legal remedies as set forth above.

11. Changes to These Terms

We may revise these Terms from time to time. The "Effective Date" at the top of this page indicates when the latest revisions took effect. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
